THIS PROMOTION IS INTENDED FOR PARTICIPATION ONLY BY RESIDENTS OF THE FIFTY UNITED STATES AND D.C. ("US") AND SHALL BE CONSTRUED ACCORDING TO, AND GOVERNED EXCLUSIVELY BY MICHIGAN LAW. DO NOT PARTICIPATE IN THE CONTEST IF YOU ARE NOT A LEGAL RESIDENT OF THE U.S. AT THE TIME OF ENTRY OR YOU OTHERWISE DO NOT FALL WITHIN THE ELIGIBILITY REQUIREMENTS SET FORTH IN THE OFFICIAL RULES. ELIGIBILITY: The "Community Green Grant" Contest (referred to herein as the "Promotion" or "Contest") is offered and open only to non-profit 501(c)(3) and similar charitable and philanthropic not for profit organizations who are entering by and on behalf of a local community located within 50 miles of a Festival city (hereinafter referred to as "Entrant") who have not previously been a recipient of the Ford Community Green Grant. All others, including but not limited to employees, directors and officers of Ford Motor Company and Green Festivals, Inc. ("Sponsors") and their respective subsidiaries, affiliates, assigns, advertising and promotion agencies, prize suppliers and any individuals, contractors or companies involved in the administration, implementation or execution of the Promotion (collectively the "Promotion Entities"), and their immediate family members and household members (whether related or not) are not eligible.
CONTEST PERIOD/ENTRY DEADLINES: The Contest begins on or about 12:00 am Mountain time ("MT") on or about March 1, 2012 and ends at 11:59 pm MT on October 26, 2012 ("Contest Period"). All entries must be received by Sponsor's representative, regardless of entry method used, on or before the following deadline dates specific to each Festival city at which you wish your entry to be considered: New York, NY by 4/13/12; Chicago, IL by 4/27/12; Washington D.C. by 9/7/12; San Francisco, CA by 10/19/12; and Los Angeles, CA by 10/26/12 ("Entry Deadline"). Untimely entries or entries not received by the deadline will be disqualified and will not be eligible for that or any other Festival. Sponsor Ford Motor Company's authorized representative's computers/server will be the official time keeping device for all matters related to the Promotion. All time referenced is Mountain Time.
SPONSORS: Ford Motor Company (One American Road, Dearborn, MI 48126), and Green Festivals, Inc. (1612 K St., NW, Washington, D.C. 20006). Promotion Entities assume no responsibility for lost, late, incomplete, inaccurate, stolen, misdirected, or illegible entries; nor for any computer, telephone, cable network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt, or jumbled transmissions; nor service provider, Internet, Web site, user net accessibility or availability, traffic congestion, or unauthorized human intervention or any technical error; or the incorrect or inaccurate capture of Entry or other information; nor for the failure to capture any such information. Only eligible entries received by Sponsor in accordance with these Official Rules will be eligible for Promotion.
AGREEMENT BY ENTRANT: By participating in the Promotion, each Entrant fully and unconditionally agrees to and accepts these Official Rules, any additional terms and conditions specific to the Contest communicated by Sponsors (and/or their authorized representatives), and the decisions of the Sponsors (and their authorized representatives), which are final and binding in all matters relating to the Promotion. In the event of a discrepancy between any communication and these official rules, the latter shall prevail. Eligible prize winners will be notified by email at the email address provided when they entered the Promotion in order to obtain their mailing address for prize delivery. Prizes will be mailed within 4 - 6 weeks upon provision of their mailing address.
HOW TO ENTER: During the Contest Period but within the Entry Deadline, submit a sustainable, forward-thinking idea (in 500 words or less) to improve the environment or quality of life in your local community ("Entry"). Without limitation of any other requirement herein, the entry idea must be original, innovative and capable of being implemented in your local community. For purposes of the Contest, "local community" shall be defined as the community which is the subject of the entry and is located within 50 miles of a Festival city (New York, Chicago, Washington D.C., San Francisco or Los Angeles).
GENERAL: By participating, Entrants agree to abide by and be bound to these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Failure to timely return or properly complete Release Documents, or if a prize notification or any prize is returned as non-deliverable, or if potential winner is not eligible or does not comply with these Official Rules, it will result in prize forfeiture, and in such event an alternate potential winner will NOT be selected in the Promotion. Undelivered, returned, unclaimed or un-awarded prizes will not be re-awarded. BY PARTICIPATING, PARTICIPANTS AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS THE SPONSOR AND PROMOTION ENTITIES, AND THEIR AFFILIATES AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES AND AGENTS FROM AND AGAINST ANY AND ALL ALLEGED OR ACTUAL CLAIMS, ACTIONS, DEMANDS, LOSSES, SETTLEMENTS (WHETHER OR NOT LITAGATION IS COMMENCED), LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, BODILY INJURY, PERSONAL INJURY, DEATH, DISABILITY AND PROPERTY DAMAGE OR LOSS), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF THEIR ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE, PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY, ACCESS TO THE PROMOTIONAL SITES AND PAGES, AND/OR PARTICIPATION IN THIS PROMOTION, AND WHETHER OR NOT CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ONE OR MORE OF THE PROMOTION ENTITIES. By accepting a prize, winners hereby consent, where lawful, to the use by Sponsor (and its authorized representatives) of their name, image, likeness, hometown name, biographical information, and/or voice, and Entry materials for publicity, trade, advertising and promotional purposes in all media now known or hereafter discovered worldwide, and on the internet and World Wide Web, without additional compensation, and without the right of review, notification or approval.
The information provided will be used for purposes of this Promotion, in accordance with Sponsor's privacy policy and will be included within the Sponsor's database should you choose to opt-in to receive communications from Sponsor.
Entries may be submitted via email to: CommunityGreenGrant@actionpartners.com, or mailed with sufficient U.S. postage affixed to: Attn: Community Green Grant, 3020 Carbon Place, Suite 300, Boulder, CO 80301. Entries must be received, regardless of entry method used, within the Entry Deadline for the applicable Festival or will not be considered. Please include with your entry your contact name, address, email address and phone number. In addition, finalists will be required to present their entry live at the Festival; so please select the ONE Festival city for which you wish your entry to be considered. Limit one (1) entry per person, per email address. Multiple entries per person/e-mail address or any use of robotic, repetitive, automatic, programmed, or similar entry methods or agents (including, but not limited to, contest-entry services) are prohibited and will void all Entries by that Entrant. Entrants assume all risk of lost, late, destroyed, non-received, misdirected, incomplete, illegible, returned, or postage due Entries. Proof that you submitted an Entry does not constitute proof or evidence that it was received within the Contest Period or is eligible. Sponsors reserve the right to disqualify and/or remove any Entry in whole or in part for any reason within their absolute discretion provided they believe the Entry is not in the spirit of the Contest or is not compliant herewith, or will have a detrimental impact on Sponsors, the Promotion, or any of Sponsors' and/or prize suppliers' products, goods or services, or mission statement. Without limiting the foregoing, any obscene, offensive, sexual or otherwise inappropriate Entry including without limitation those referencing or depicting violence, nudity or explicit activity, or which are not in the spirit of the Promotion or which do not otherwise meet Sponsors' standards for any reason, as determined by the Sponsors, in their absolute reasonable discretion, will not be considered. Entries will not be returned and become the property of Sponsors. By submitting an Entry, Entrants represent, warrant and covenant that the Entry submitted and all content therein: (i) is the original creation of the Entrant, has not been copied in whole or in part from any other work, and has not received an award, grant, or prize in any other contest, competition, or show(ing), (ii) does not violate or infringe any copyright, trademark or other proprietary, publicity or privacy right of any person or entity, (iii) all Entrants, and any other persons who were engaged to work on the Entry or who are referenced in the Entry in any manner have given Entrant their express written consent to submit the Entry for the use contemplated and have provided permission to be included in or with the Entry (Entrant may be asked by Sponsor to provide evidence of such permission in writing); and (iv) is the sole and exclusive property of the Entrant. Entrants also acknowledge and agree the Entry may be used in whole or in part, alone or in combination with other works, and that it may be changed, altered, edited or modified, used in distorted, illusory or composite form, or in any other manner, as solely determined by Sponsors. For good and valuable consideration including but not limited to the opportunity to compete for a prize in this Promotion, at the time you submit an Entry and whether or not your Entry is selected as a winner, Entrants grant to Sponsors an irrevocable five (5) year license in and to the Entry, in whole and in part, and all the intellectual property rights therein, through-out the world for any and all uses, derivatives and modifications and further agree to execute all documents and perform all acts deemed necessary by Sponsors to protect their license in the intellectual property. You will not now nor in the future be paid for your Entry or for granting Sponsors any of these rights. Entrants waive all claims to and shall receive no royalties of any kind now or in the future from Sponsors, their affiliates, licensees, successors and assigns for use of the Entry, in whole or in part, and Entrants represent, warrant and agree that no other party is entitled to claim royalties from the use of the Entry. Sponsors, their affiliates, licensees, successors and assigns are in no way obligated to use or continue to use an Entry (and have no obligation to Entrant or any other person or entity after the Entry is received). Nothing herein shall be deemed an obligation of confidentiality. Entrants understand and agree to assume the risk that their Entry and any element thereof may, in whole or in part, be identical or similar to any other Entry.
In no event will Promotion Entities, their parents, affiliates, subsidiaries and related companies, their advertising or promotion agencies and/or all their respective officers, directors, employees, independent contractors, representatives and agents, be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to, and use of, any participating internet site(s), Promotion Pages, or the downloading from and/or printing material downloaded from said site(s). Without limiting the foregoing, everything on this site is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties.
JUDGING CRITERIA/FINALIST & WINNER SELECTION: All eligible Entries received will be judged by a panel of judges from Sponsors during the Contest Period in accordance with the following judging criteria: innovative (25%), achievable (capable of being implemented) (25%), and impact on improving the environment or quality of life in the local community (50%). In the event of a tie, the finalist (amongst all tied entries) will be determined based on who received the highest single score in the impact on improving their local community category. A varying number of finalists will be selected per Festival (the number of finalists per Festival may vary in the sole and absolute discretion of the judges due to quality and number of entries received for said Festival). Potential Finalists will be notified via email or phone (in Sponsors' discretion) and will be required to sign (on behalf of themselves, and their organization and/or community), have notarized and return an Affidavit of Eligibility, Publicity (where legal) and Liability Release on or within two (2) days of notification. Noncompliance, failure to timely return the signed documents, or return of any prize notification for any reason will cause the prize to be forfeited. In the event of forfeiture or disqualification, Sponsor may, and reserves the right to, select an alternate finalist with the next highest score as determined by the judges provided sufficient time exists to notify and verify the potential finalist prior to the Festival. Eligible finalist entries will be posted at the applicable Festival and Finalists will present their entry ideas at the Festival on the Ford stage. Presentation must accurately and identically represent the submitted Entry. Festival attendees will then be able to vote for the Entry (project proposal) that they feel represents the most compelling green way to improve the environment or quality of life in that local community. Votes will be tallied onsite by Sponsors (or their authorized representatives), and the project proposal with the most votes will be announced as the Community Green Grant winner on the final afternoon of that particular Green Festival.
WINNER SELECTION/PRIZES: Grand Prizes (5), one per Festival: A $5,000 community green grant (awarded in the form of a check which must be used towards fulfillment of the idea expressed in the Entry). Total ARV of all prizes: $25,000. In no event will Sponsors be responsible for awarding more than the stated number of prizes. Unclaimed or returned prizes will not be awarded. The winning Grant will be awarded by Sponsors in a manner that attempts to provide the widest reaching benefit to the local community which was the subject of the Entry, in the absolute discretion of the Sponsors.
GENERAL PRIZE RESTRICTIONS: Limit one (1) prize per person, per organization, and/or per community. Prizes are subject to and made in compliance with Internal Revenue Service Regulations and any applicable federal and state laws and regulations. Entrant will receive no tax donation or other similar tax credit as part of the prize, which will be awarded to the organization or local community directly from Green Festivals. Grant Prizes must be used in furtherance of the local community which was the subject of the Entrant's Entry. Grant Prizes may not be transferred or assigned in whole or in part. Sponsors reserve the right to substitute a prize in whole or in part with another prize of comparable or greater value for any reason in its sole discretion. Winners will be responsible for all applicable taxes if any (including but not limited to federal, state, local and/or income) on prize and may be required to provide social security number or tax id number for tax reporting purposes.
GENERAL CONDITIONS/RELEASE: By participating and/or accepting a prize, entrants, finalists and winners: (a) agree to release and hold harmless Promotion Entities, their respective directors, officers, agents and employees from any and all alleged and/or actual claims, actions, costs and expenses (including but not limited to reasonable attorneys' fees), injuries, liability, losses or damages of any kind or nature, arising at any time now or in the future, caused in whole or in part by their participation in the Contest and/or any Contest-related activities, the unauthorized or illegal access to personally identifiable or sensitive information, event cancellation, or the acceptance, possession, use, implementation, or misuse of the prize; (b) consent to the use by Sponsors of the Entrant's name, voice, likeness, image, statements and other indicia of persona, community name and information, in any media now known or hereinafter developed throughout the world (including the World Wide Web and Internet) without additional consideration, consent or prior review, and upon request will provide written consent to such use. Neither Promotion Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, failure to collect an Entry, human or other error, technical malfunctions, lost/delayed data or transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, email system, software, inability to access any online service or Website, property damage or loss, or any other error or malfunction, or late, lost, incomplete, or misdirected Entry, vote, or any injury or damage to participant's or any other person's computer related to or resulting from participation in the Promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT, DIRECTLY OR INDIRECTLY, OR ANY OTHER INDIVIDUAL, ENTITY OR ORGANIZATION TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, IMPEDE FINALIST/WINNER SELECTION OR PRIZE FULFILLMENT, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO DISQUALIFY SAID ENTRY/IES, AND TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) OR ENTITIES AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Promotion is not capable of being executed as planned (in whole or in part), or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures or any other causes which in the opinion of Sponsors, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsors reserve the right at their discretion to disqualify any suspect entry or entrant and to cancel, terminate, modify or suspend the Promotion, or any element thereof. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.actionpartners.com/greengrant and at the Green Festivals. In the event of termination, cancellation or suspension, due to the nature of the finalist and winner selection process inherent in this Contest a determination of the applicable finalists and winner(s) will be not be made due to it being impracticable and not commercially feasible. Entries or entrants not complying with these Official Rules, any other terms and conditions otherwise communicated by the Sponsors are subject to disqualification.
LIMITATION OF LIABILITY: The Promotion Entities shall not be liable to entrants, finalists or winners or any other person, entity, community or organization for failure to execute the Promotion or supply a prize or any part thereof, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, cyber attack, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any similar or dissimilar event beyond their control.

DISPUTES: THIS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF MICHIGAN WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in the Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Detroit, Michigan having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys fees, other than participants actual out-of-pocket expenses (i.e. costs associated with entering this Contest), and participant further waives all rights to have damages multiplied or increased.
